CLARIFICATION
In connection with the information circulating in the press about the Government selling its stake in Viva Armenia for $50 million, we would like to clarify that the Government’s August 7, 2025 session did not approve the transaction to sell the Government’s stake in Viva Armenia, but rather, by decision of the Government, it was authorized to conclude an option agreement on behalf of the Government with the other shareholder of Viva Armenia, Fedilco Group Limited. Under the option agreement, the Government receives the right (but not the obligation) to demand at any time until May 15, 2028, that the other shareholder purchase the 110,000 common shares owned by the Government for $50 million (if the conditions stipulated in the annex to the decision are met). In other words, the decision is about reserving a right to the Government, the issue of whether or not to exercise it will be decided by the Government itself, according to expediency.
